Oh, here we go. Are we all set? Yep. We're waiting for you. All right. Good evening, everybody. Let's uh let's be on the way here. I'd ask first for an approval of minutes from the meeting held on July 31st, 2025. Move approval. Second. All in favor, please say I. I.

0:26 – 1:100

Opposed? Motion carries. All right. The next item of business, uh, we go right to the CDA convenes into a closed session. Pursuant to the Wisconsin state statute 19.851C, deliberating or negotiating the purchase of public property investing in public funds, conducting other specified businesses, business whenever competitive and/or bargaining reasons require a closing session. specifically regarding a development agreement with SEX Silver Spring LLC doing business at SEX Food Market. Um, memorandum of understanding with the business improvement district and a memorandum of understanding with the village of White Fish Bay.

1:08 – 1:460

Was that a motion or are you asking for a motion? Well, I'm just Yep. down here as to what Yep. Would you like to make that motion or would you like me to? Uh, well, do you have anything to add? I I do not. Excellent. And you should go ahead and I will I will make the motion to go into close session as presented. Any questions? We got a second. Okay. All right. I got a second. Uh any questions that people have? All in favor, please say I. I. I. Motion carries. Okay. All right. Where do you want to go next here? So now we're now

1:48 – 2:320

I'm I think the first thing is actually three motions, right? Is that we're going to make three? You want to do one at a time? Yeah, we need to We need three. Would anyone like to make a motion about the move the development agreement? What would your motion to approve to recommend the approval of the development agreement with that we just spended? Yeah. Yeah. Yeah. Okay. Second. Second. All in favor? Mike got you. All in favor? I I. Any opposed? Okay. And now we need another one for the member of understanding with the bid. Would anybody like to make that motion to recommend this?

2:28 – 2:510

I will move. We recommend theou for the bid. With the bid. We recommend to the village board. Correct. That they approve it. Is there a second? I'll second. We'll give it to you. All in favor? I post.

2:46 – 3:300

Okay. And final aou with uh well that's the CDA and the village board, right? Well, no CDA and the village member of understanding. I move that we recommend to the village board that they approve the memorandum of understanding in the amount of $900,000. Excel second. Thanks, Colin. Any discussion on that? Just a from the standpoint of this payment schedule, I'd recommend putting that additional 200,000 in the last year. [Music]

3:26 – 4:010

I do want to rephrase in Kelsey's that's considered that a friendly amendment. Friendly amendment. All right, we had a motion and a second. Yes, there second to the motion. All in favor? I I I opposed. Motion carries. All right. I think we're at number four. Um do you have a discussion action on a contract with David Frank to replace the string lights on the light poles? Oh. Oh, that's light pole deal. Yeah.

3:58 – 5:240

Um have a little bit more information about that today, but um it did not come in. So, we'll work with what we have. Um, as you're aware, when BID presented their capital requests, one of them was to replace or at least repair the string lighting that's on all the light poles along Silver Spring. When you drive, you'll notice, especially the lights that are on the lower um portion of the um light poles, there's a decent amount of them out. Um, in fact, David J. Frank, I haven't verified this, said 72 of the 120 strings they would recommend um to be replaced. So, we actually explored a lot of different options. um some of which were shockingly costly. Um and so we came we were trying to explore ideas of lights, you know, being able to adjust and do themes of the Dukes make it to um the state tournament and it's all blue and things like that. Um but the cost was very high. Uh so we kind of came back to what we have now and replacing it. Uh so that would be if we wanted to replace all the lights, it's a cost of $9,770. or if we just need to replace um those in need of replacement, the cost is $6,910. Um and then I would recommend using TID one funds that we would be just doing an internal borrow if we didn't have sufficient cash flow um until funds were available in order to meet the TID one um requirements by October 20th.

5:20 – 6:040

If if we only replace some of the lights now, are we going to be having the same discussion a year from now? I I think so. I also worry too, I don't know if you've been in Toasta Village, but their their lights bother. They're different colors, different shades of lights, and now with LED and different types of lights, I think you just have to be consistent when you replace them or it just doesn't look quite what when Oh, sorry. Yeah, go ahead. I was just going to ask about um the bid the bids contributions. Last time we did this, they paid 50%. Yep. And is there any reason we couldn't expect they to do the same thing again?

6:01 – 6:440

Yeah. So I Jeff Comr who is on the bid board has is been their liaison that's been meeting with me and Matt um on these calls to try to work through this. And so when I asked Jeff that question, he thought that they would contribute but wasn't able to speak for the board in terms of how much. They do have a meeting on Friday. Um, so I I think that could be part of the motion if you know if CDA wants to ask him to contribute a set amount or to pose the question. Um, we can certainly we can certainly pose that and I think there would be a willingness. I just don't know how much. I think we ought to try to go with the uh the full replacement and 50%. Sure,

6:42 – 7:180

I can absolutely pose that. And normally I would have worked through all this ahead of time just with the tight schedule and knowing we're not meeting again. I agree. Is this something we can approve or is this a recommendation to the board? You can approve this because the cost is below 50,000. I I would move that we uh move forward with the replacement of all the lights and that we request that the bid fund up to half of it. What happens if they do what what happens if they don't have Do they have reserve? They want you to tell them.

7:15 – 7:590

I mean, I we I want to get this done and so I don't want to haggle over if they go like we don't have 4500 in the budget. We can't do this at all. And don't we have a time crunch on this? Don't we have to approve this by October 21st? So, this is it. We We can't If they come back and they said no, this wouldn't happen for a year or I'm not even sure when it would happen. Well, they're getting they're getting 60 grand from this next year, right? They're gonna have the cash which is budgeted for things. I'm just Yeah. Well, they got to prioritize just like you you do, right? I mean, and they they have reserves. I I I'm agreeing with

7:57 – 8:400

Lexi was concerned because all those capital um purchases they're planning to buy this year because they spend money in rentals, so they want to buy them early. we're not paying them the cash for that until 2026 or 2027. I think it's 2027. So, she was worried a short term a little bit of cash flow issue, but well, they should they should take me up on my generator offer and they'd say come up. Yeah. Yeah. I I signal the capital unless a motion to say, you know, that we want to proceed with the entire 90 some odd 100

8:38 – 9:210

and that we we rely on the village manager to uh obtain as much participation as as she deems appropriate from the bib. Perfect. I'll second. That sounds good. Can can I just ask one clarifying question is Is there any willingness or desire, I guess, to look if they David J. Frank was supposed to send me the quotes today, but if they get them to me and they are somewhat reasonable to do the fairy lights, which has the cord is less visible on those. Um, so in the daylight, you just don't see the cord or to do the different lighting options only if they're going to pay 50%.

9:19 – 10:040

If bid. So, okay. A willingness to go higher if it is. I'd be a little concerned about cords that are thinner or less rugged because they're outdoors 365. I thought so too. They had some pretty good case examples of places that they're at. So the specifically those ones are in the TSA village. Something called fairy court sounds a little sketchy. I know. Okay. We could stay the course with um with this. just, you know, it's kind of your one chance for three to four years to do something. I don't think what I don't think um Dick's motion locks us into any specific kind of chord. Okay. So, you figure that out.

10:02 – 10:450

I think that has to be pretty clear that you know we haven't decided anything. Okay. So, I get the sense that we are not that's something that we can bring up at another time in a different time frame. No, we're this will be done tonight and I think we have a motion in the second. Yes. Yeah. All right. It's just that So, what's the motion again? It's been a while since we motion is get her done. All right. The motion is done. All those in favor of having Kelsey get her done. I favor. All right. That better be in the minutes. That's an artfully.

10:43 – 10:560

And that is it. So now we just need a motion to adjurnn. I think Mike just and seconded. All those in favor? All in favor? I opposed. Thank you all. We are adjourned.
