Second discussion. Oh. Uh, as far as the community goes for migratory birds, my name is Sharon Cashman. I live here in Waverly. Uh, one thing that they do ask for migratory birds is to decrease the lighting. Turn off any outside lights um that you have on right now because it will throw off the birds that are migrating. So, to try to decrease lighting, the hummingbirds are coming back. Get your hummingbird feeders out and change them frequently so we have healthy hummingbirds. Thank you. Thank you. I got my hummingbird feeders out like two weeks ago, so I was really excited. They're my favorite. And I hear Saturday night was a really big migratory night for birds.

Yes, I'll start. Uh I'm Bruce Zer. Um I am a volunteer with the Cedar Valley Bicycle Collective. We're based out of Waterlue and we promote uh safety uh advocate uh for disadvantaged people who need bicycles and we [snorts] are also have a retail outlet on West Fourth Street in Wateroo uh where we take uh donated bicycles and refurbish them and either donate them to charities uh veterans or we sell them at a reduced cost. So if you have that bicycle hanging in your garage that's been there for 20 years, we will take it. if we cannot use it, we will take it to the junkyard and scrap it and make sure it's not hitting the landfill. So, I uh brought this uh proclamation request to Kristen and the parks and wreck board. I want to thank all of you for addressing it. Um I can't think of anything better for anybody to do than to go out ride their bikes. So, that's all I have to say.

Sharon Cashman, Waverly, Iowa. Again, an avid cyclist. Um, I just read that for every minute you cycle, you add a minute to your life. So, I might be here longer than I thought I was going to be, but I'm a real proponent for wearing helmets. Parents need to wear helmets. Kids need to wear helmets. And the helmets we use for ebikes are different than regular bikes. So, just be aware that they have to be certified for the type of bicycle you're using. because some of the ebikes go faster than a regular bicycle. I didn't know that. Yes, there's a different helmet. Okay, good to know. Thank you.

But I just wanted to say uh thank you to city staff for all the hard work that they do uh clearing the trail off. We've had a lot of wind this year. It it does make it much safer when we don't have to deal with sticks and limbs and things like that. So, we really appreciate all of their cleaning. And for anybody that complains about why do we spend all the money on the trail, there's other things we can spend it on. I'm not originally from Waverly, but um if you wouldn't had a bike trail, I wouldn't have lived here. I would have lived in Cedar Falls. I So, I really appreciate all the uh resources that the trail does provide. And as of last Thursday, it's 23 years that I've lived here now. So, thanks for the trail. your name, please.

A resolution directing sale of $2,600,000 subject to adjustment for terms of offering local option sales and service tax revenue bonds series 2026B. Council, do I have a motion? I'll move approval, excuse me, of [clears throat] resolution 26-105, a resolution directing sale of $2.6 $6 billion subject to adjustment per terms of offering local option sales and service tax revenue bond series 2026B. Second discussion. Hi there everyone. I'm Maggie Berer with Spear Financial. We did receive bids this morning for the $2,600,000 of local option sales service and tax revenue bond series 2026B. Uh we have laid a couple of letters in front of you. One is for the tax uh sales tax revenue and one is for the general obligation. The sales tax revenue bonds this morning had five bids as part of uh the the bid uh list that we got. We are recommending that you would approve TD Financial Products LLC out of New York, New York. Um for the interest rate of 3.5286%. This is a very good interest rate for revenuebased debt. Uh we did have very close bidding there at the five 352 down to the 3.80%. On page two of that handout. Um we do have an underlying rating with Moody's and we have that in our geo packet but the underlying rating was an A1 um through insurance is what the underwriter bought. So TD bought in municipal insurance which basically ensures that you're going to make your debt payments. um by buying that insurance that increased your rating up two notches. And so that makes this much more lucrative to investors and I really think that's why we saw that interest rate at the 3.52%

today. We were anticipating that rate could be as high as about 4.5 4.6. So we're very happy with this revenue based rate. The interest rates all the way down are a 4%. They are giving you a small premium. They're giving you $72,715 in premium um for you to spend. That is not principal that you have to pay back. That is money that can be spent on the project or on the debt service repayment of the bonds. And again, that's just knowing that they want 4% to be able to resell to the market, but they know interest rates are lower than that, and they knew they had to give you some money upfront to do that. These bonds are out there till 2036 and they become callable after June 1st of 2033. At that time, you're able to uh pay the debt off in whole or in part. You're able to pay them down. If interest rates are lower than 4%, we may look at that and say this would be an opportunity for refunding. if there's not enough savings or or not enough time in that savings, um then you can just go ahead and pay those bonds just as you have been all all the way to the full maturity. So, with that, I'd answer any questions that you have on this first 2026b series, but we would recommend you would award to TD Financial Products uh at 3.5286% Is there any additional discussion or questions? Well, we're just getting this just now, but I think it it has a nice summary on page two of the handout that we were provided about the strong position of the city. So, I think that's good to know, right? Um, so we did receive five bids. You can see they're the same five biders that we saw on the revenue debt. Just a little shakeup in um in the in the way they bid. So again, being general obligation, being backed by property taxes, even if you're paying them with another source of revenue, they are backed by the property tax system um of the debt service levy. So we are recommending we would award to BOK financial securities out of Milwaukee, Wisconsin at the 3.2938. And that difference in interest rates from that to the revenue is that general obligation property tax backed versus that revenue. you know, the revenue uh the argument would be, well, the economy could slow and maybe those revenues just don't continue to grow. Um, so that's what we have. I want to thank the staff here, um, between James and Valerie. Uh, they sat through and did a presentation to Moody's for 1 hour. Moody's is the investment rating system. They do a fantastic presentation, always giving

Moody's exactly the information that they need. And as stated um prior to our our discussion here, they have reaffirmed the general obligation debt um at that double A3 level, which is where you were at before. And then again, using that A1 rating, which is just one notch down for that revenue debt. That that is very typical because it is based on the revenues of the system. They like that you have um strong fund balances. Um the rating agency will always say that's important. They think the d demographics are good for this area. We we remind everybody that we're in Iowa, so we're not going to have u maybe as higher ratings as some other cities that have a much higher cost of living, but also um you know might have higher median incomes um and things like that. So they always talk about what could lead to um a downgrade of the rating and that is you know taking your fund balances uh to lower levels um than what uh you know you've set for yourself and and you guys have monitored and and done that well. These interest rates are a 4% as well. Uh these bonds again are out there till 2036 with a call date after 2033. This one does have a slightly higher amount um of of uh having a little bit more premium involved in there. So, we've got that there. But again, the 3.29, these were very close bids as well. 3.29 down to a 3.52. So, again, those first couple three bids, 329, 330, and 335. Just right there, that shows us that that's where the market is today. So with that, we would recommend that you would award to BOK Financial out of Milwaukee at 3.2938%. Any questions?

I'd just like to comment also appreciation for our city staff that keeps us in good financial shape so that we can have good deals like this. and Maggie to you for always bringing us good deals and making it make sense to us. Thank you. I appreciate that. I will note too on the scorecard with Moody's uh they show us as a double A2 ready for an upgrade. So I think within a matter of years we will see an upgrade to a double A2 which will hopefully put our revenue debt at a A3 instead of an A1. Yeah. Which will benefit even more as we go forward. But we have two out of three years been shown as a double A2 on the scorecard.

Yeah. What do you think will help us specifically get that change? I think we'll increase our reserves uh to the point that uh that's kind of the shaky part for us. Once in a while we're fine where we are, but I think we'll increase our reserves to a point that they will push us through. Uh a lot of times when you're close, they don't want to give you an upgrade and then a year later give you a downgrade cuz you're on the bubble. So they will make sure you are well within that class before they make the upgrade occur. Right. And I think we've been teetering at that A2A3, but I think we'll be close. I would say I'll predict 18 months, two years, we'll be double A2.

I think also you have strong valuation growth. And I want to remind everybody in a taxing system in Iowa that if something got built today, May of 26, the first time it shows value is January 1st of 27, and the first time it pays taxes is the fall of 28 and the spring of 29. So everything is always lagging behind and they're not seeing that, right? They're seeing what it is today for fiscal year 26. And so um you've had some pretty strong growth in valuation um with new businesses, with remodels, things like that, new housing over the last couple of years. And that is all going to catch up and I think that will help lead to um that discussion of an upgrade. So we we anticipate that. I did sit through a presentation. I was at a conference last week. Um both Moody's and S&P were there and they said right now um there's hardly any rating upgrades happening and that's because we have we have a little bit slower economy than we did um four or five years ago and and in that situation where some upgrades were happening. I just think that they're not ready to pull the trigger um to do an upgrade because again, as James stated, they want to make sure that if you're on that bubble, you're on that bubble for a few years before they move you up because they don't want to turn around and move you back down. They will tell you they don't like to give downgrades if they don't have to. That is not something they want to do. So, they want to make sure that you're securely in that [clears throat] other rating. So,

So, they levy to that and then they go in group cuz this is used both in and out of city limits. And so some trucks are just Waverly only. Some are split 50/50 with Rural Fire. Is it housed in Waverly? Yeah. Everything's housed over here. So we have to go. So Bryce, you guys typically would take it out to the rural fires. Okay. And when's the delivery date? About June of next year. Next year. Okay.

Since they're such different properties, they attract different biders. To combine them together, I think reduces the amount you may receive because somebody may not want that property or may want this instead. And that's why HUD was done separate. That's a whole different animal as we're finding out.

And then after that will be the school property which again is not as popular with them of individuals but we don't want to combine it all together and then drop down people that simply don't want to deal with it. So this is the cleanest way to do this going forward. And BHA is Birkshshire Hathaway. They call it BHA. I don't know why. I guess it's shorter but it is actually Birkshshire Hathaway. And these are the same individuals that worked with SAB Capital on the HUD property. So they're familiar with the area and the buildings and so they are a separate breakoff of those two for this agreement. How have they been to work with?

And it gives us teeth if it's not followed through. Whereas we didn't really have as much that prior. We will now. And this is a recommendation for the attorneys to make this nice and clear. Okay. Okay. Update on the new aquatic center. All right. Well, not the update that I really wanted to give tonight, but uh construction is running behind on the aquatic center. The uh latest timeline that we received uh would be that the city could uh take possession somewhere towards the end of July. So, that being said, we are not going to be open for a season this year. Um, you know, lots of things have uh kind of led to this with uh, you know, we we know about the dewatering. Uh, that added a few weeks to a month. Uh, some of the bigger snowfalls that we had added some days. Colder weather throughout the winter added some days and we're just not where we hope to be. Uh it was June 2nd uh that the council approved the demolition and the uh you know the building of the new aquatic center. Uh so less than a year ago and you know we knew at that time that it was a aggressive and ambitious timeline but we're obviously very hopeful and uh you know that we would be able to get open uh by the end of May or beginning of June this year. But, uh, it's unfortunate we're not going to make that. Uh, that being said, um, you know, we're if we can one have the pool and, uh, splash pad, you know, completed by the end of July, we uh, we'll have the splash pad open for the rest of the summer that can be used. And then we're hopeful that uh you know

we may be able to open for a couple of evenings or a weekend or something like that at the pool uh to get families out to check out the new pool uh free of charge. Come out and use it for you know an hour or two or something like that. But we just know we're not going to be able to get guards consistently to be open for 2 or 3 weeks at the end of the summer continuously. So, that's what we're looking at. Um, I'll take any questions. If you guys have any questions for me, anything that I might be able to answer, go ahead. So for the public's clarification, it it's primarily an issue of by the time the pool will be ready, we're not going to be able to get enough staff because of it being middle of the summer. Correct.

Basically, yes. because if uh if we're to take possession towards the end of July, we're still going to be a week or so out from training any staff that we might have, getting all of our I don't I don't want to say equipment, but it is it's equipment, you know, um getting all of those things in that aren't under contract. It's all the stuff that we would need to bring in. getting the um staff trained at our facility. We would have two to three weeks at best and August 1st in a typical season is when I lose most of the guards anyway to either school activities um kids who are in college, their lease starts on August 1st, so they don't hang around, they head to wherever their uh college is. Um, so yeah, it's going to be a issue with staff.

I mean, in a good year, you might get a 12week season. Literally, it's about it. Usually, it's about 10. And I think it's unfortunate, you know, as Garrett said, we was aggressive to get this. We knew things had to go very smoothly in place. And that didn't happen, which is not uncommon these kind of projects. You don't just dig a hole, pour concrete in, you have a pool. the amount of piping and everything that goes into this, the intricacy that happens, it takes time and you can only cure concrete so fast. You can only do things so quick and I'd rather have it done right than done twice. So, I'll be want to push push push in all these hours. In the end, it may not be worth the end product. And so, that's been our goal is try and get this done as quick but as correct as possible and not just rush it for the sake of rushing it. And so, you know, we'll try and find a way to have the public enjoy it, like we said, but it just it just will not be Memorial Day opening like everybody would like. And, you know, if it turns out it's a little earlier, outstanding, but you still have a state inspection to get through. The punch list on that, you never know what that's going to entail. There's just a lot of moving parts yet that we still don't know how they will be finished. Our best guess is going to be towards the end of July and then hopefully from then we can schedule some things to get it open somehow or part portions of it or something but uh it's unfortunate but it happens. So thanks thank you reports and boards and commissions council you've received the reports. Do you have any discussion? My only comment is I'd like to see a little more detail from the Municipal Housing Commission. There was nothing in their notes other than an outline of their topics. So, it would be helpful just to have a few sentences about what they were discussing.

All right. Um, we have a another planting coming up, tree planting at the courthouse uh on Thursday. Uh, this will be 10 trees that uh [clears throat] uh we didn't get in for the planting this past Wednesday. Uh, so Trees Forever will be helping out with that on Thursday. We will take any volunteers that we can get. So if you want to come out and learn how to plant a tree or just help out, come on out and uh help with that. Um, let's see. Artw walk this last weekend, very successful. Uh, we went around and talked to the booths uh at the end, all the vendors, all the food vendors, everyone seemed very happy with how things went. I mean, we had absolutely great weather. So, thank you to those of you who came out and supported it. Uh, saw quite a few of you out there. So, it was just a really great event. It's always a great event, but this time we had really good weather. Um, we have the garden planting this Saturday, uh, for the community gardens. So, if anyone wants to volunteer for that, 8:00 a.m. on Saturday. And then, uh, obviously we need volunteers throughout the season as well. Uh, there's volunteer times on Saturdays and Tuesday, Saturday mornings and Tuesday evenings uh, throughout the growing season. Uh, let's see. We have another planting on May 17th. Uh that'll be the one that we do with the uh middle schoolers and we'll have the plantings at Three Rivers Park, the cemetery, and then we're also planting some trees at the library. So, if anyone's interested in that, just get a hold of me and uh you're welcome to volunteer for that as well. We'll always take some more volunteers. I think that's all I've got for you tonight.

Well, we concluded special pickup 2026. Again, just some numbers. I always like sharing these. It's interesting to see. Uh we had 111 orders in a week and we picked up 321 items. So, people did a lot of cleaning. Uh save a lot of money for the towns cuz we wave the special pickup fees. So, I think it's a worthwhile uh endeavor for us. Um another note, we're flushing hydrants starting tomorrow. So, if anybody notices that the little get a little bit of rusty water or something, run the faucet for a little bit to clear it out. Um, that'll probably be ongoing for two, three weeks depending on weather and availability with guys. And on the last note, we uh most of you probably noticed the damn lights were running this weekend. Um, they were running on the the loudest one we could, if that's a good word for it. Uh, we only have one motion one right now is rainbow that has the effect of that. Um, just kind of did it as a trial period to see how things worked. Uh, how things shook out with everything. We did notice it was shining upstream a little further than what we intended. Um, I've been meeting with Todd Tetro. We're going to try to adjust it a little bit down to more director right on the dam, but uh, we hope to have uh, more options in the future, you know, red, white, and blue and some items like that for the Memorial Day and Fourth of July and those type of events. But yeah, I thought it was pretty neat. I I was pretty impressed with how bright they actually were on how well you could see it on the day on. So,

That's the scholarship um award program for the GoHawk Scholarship Fund. And it's a really nice event. you get to hear about what some of the seniors are doing. Um the families who do scholarships in memory of loved ones or for a certain type of uh a course of study are they just give these heartfelt talks about why they uh want to invest in WSR and so um some of you might have a senior so you have to go but it's a really nice event so just congratulations to those seniors. Council Person Horman. Uh, nothing tonight. Council person Bills, Council Person Myers. Uh, shout out to everyone who helped organize and or work at or clean up from all of the events on Saturday.
