All right. Thank you. We do not have any presentations and commendations. We do have two consent items. Do we have any public comment on the consent items or on the phone? All right. Thank you. I will entertain a motion to approve consent items.

4:54Speaker 5

So moved, Sedgley.

4:56 – 5:41Speaker 1

Moved by Sedgley. Second, Manfrey. Seconded by Director Manfrey. All those in favor, please signify by saying aye. Aye. Any opposed or abstentions? All right. That passes unanimously. Thank you. All right. We are now on to public comment. At this time, if there's anyone that would like to address the Board on any item that is within our jurisdiction but not on the agenda, please do so now. Anything on the phone? Okay. Great. We do not have any item seven, let's see. Seven, eight, district managers and engineers reports and announcements.

5:48 – 6:16Speaker 5

Morning. Rick Thomas here, District Manager, and I'm here with Andrew Butler, District Engineer. Just most importantly, I wanted to just give you an update on the status of the PPA. And unfortunately, due to the government shutdown, the ASA's office is moving quite slow. All the documents we need approved are there, and it's been reported to us that the ASA has at least seen them, once.

6:16 – 6:52Speaker 5

And there was a briefing with mister Tell about a week ago, and he had some questions on the documents. But, unfortunately, the chief architect or author of the agreement and, the main lawyer in the ASA's office was in the hospital the day that they did the briefing. So nobody could answer the questions that he had. So unfortunately, they had to reschedule a time with the ASA. But we're still hopeful that things will keep moving.

6:53 – 7:31Speaker 5

I think if the government opens back up, that'll liven things up a bit as well. Plan well, we're currently out to bid. Contracts being advertised with a plan to open bids on November 21. If we don't hear anything, if we don't have those documents signed by November 14, about a week in advance, our plan is that we're just going to simply extend the bid opening at that point, depending on what we're hearing. So we can we what we don't wanna do is open bids and then we have a timeline to work.

7:31 – 7:51Speaker 5

We have about sixty days to act on the bids. So we don't want to put ourselves in that position, at least right now. So that's our current plan, with the goal remaining that we award the contract on December 16 at your regular meeting. I don't know if, Andrew, do you have any other comments?

7:52 – 8:09Speaker 4

Yeah. I'll just reiterate. As Rick said, we are out to bid. So if anyone knows someone who wants to do a $34,000,000 project, send Marway. It's a really big milestone. It's kind of two years in the making, for so I wanted to thank everyone for all their hard work on getting us here.

8:10Speaker 5

And if you have any questions on all of that, we can

8:15Speaker 1

answer them. Thank you so much. Anyone have any comments or questions?

8:25 – 8:38Speaker 5

Yeah. The right. So the PPA is the project partnership agreement. Okay. That's what the court calls a, you know, an agreement, this form of agreement.

8:38 – 9:17Speaker 5

The ASA is the assistant secretary of the army for civil works. So it's an appointed position, and mister Adam Tell was appointed, I think, on August 25. He was, his appointment was approved. So he's only been in on the job for a short time. And he's the way the legislation works with the section two zero four, work that we're doing, he is the person who has to approve basically all the documents and approve the design. And so we're just awaiting his approval.

9:17Speaker 3

Okay. Thank you.

9:20 – 9:45Speaker 1

Alright. We will go ahead and move to board of directors reports and announcements. Does anyone have anything they'd like to report or announce? Okay. All right. Any future agenda items? Okay. We're going to go ahead now and move into our closed session, and we'll have counsel do that announcement.

9:47 – 10:06Speaker 3

Good morning. Sabrina Wolfson, District Counsel filling in for Shanna Bagley. There are five items listed on the closed session agenda as items 12A through E and both are for the dual purpose of conference with real property negotiators and conference with legal counsel regarding existing litigation. And the negotiating parties are as listed on the agenda.

10:07 – 11:09Speaker 1

All right, thank you. We'll just give a few moments to move into closed session. Thank you. We are back from closed session and if Council will report out, please.

11:10Speaker 3

Yes, the Board met in closed session on items 12A through E, and there are no reportable actions.

11:17 – 11:35Speaker 1

Thank you. We will now adjourn to our next meeting of 11/25/2025 at nine a. M. And I just want to let everyone know that we are immediately following this meeting, we will be doing a special meeting of the Napa County Board of Supervisors. So thank you very much.
