I'm so sorry. Okay, I'm back. I'm doing the call to order. I'm calling the Health Facility Authority meeting to order Thursday, March 27, 2025 at approximately 12.13 p.m. I have chair several quorum and approval of minutes. Can I have a motion again? I'm sorry.

All in favor. Yes. Minutes passed 3-0. Okay. I'm going to resolution number one, which is a resolution of the city of Southern Real Facilities Authority electing one of its members as chair and vice chair. So who would like to be chair and vice chair?

Well, I move that we maintain our pecking order if she's willing to continue as chair.

Okay, go ahead and explain that report. Thank you all of you for serving, and I appreciate it. It's so nice to see you, Lizzie. I haven't seen you in a very long time. This is something that's required by state statute. We meet once a year within 90 days of the termination of the calendar year. to discuss any business that's been had by the South Miami Health Facility Authority. I am here to report there has been no business, there's no bank account, there's nothing that's transpired or any transactions that have been incurred during the calendar year of 2024. I just wanted to put that on the record. There's nothing to discuss. There's no transactions. It's just a formality since we do have a South Miami Health Facilities Authority. That's all I have.

Any questions? This is a formality that doesn't make a lot of sense to me. What is our role if all we do is come here and rubber stamp something every year that nothing has happened?

Well, the role is if at some point a hospital, it doesn't have to even be in our jurisdiction, wants to issue bonds through a conduit, being us a government entity. Now, a lot of the tax laws have changed, and that changed in 2013. I believe it was 2017 when President Trump at that time, the first term, made some major tax modifications. That's why a lot of them did it in 2017 because they wanted to refinance because the issuance of debt through the conduit being South Miami Health Authority has been limited since that new tax amendment. Now, not to say that in the future, it will be more favorable to health organizations being hospitals, Larkin, that want to issue debt at a tax exempt, they can use a conduit. But at this point, I don't see many of these types of debt issuances occurring, mostly because of the changes to the tax law back in 2017.

Listen, I would love to make a suggestion that we convene and have a discussion. Someone explain to us what our operating procedures are so we'll better understand what we're supposed to be doing, what has been done in the past and what can be done in the future. I don't have a grasp of this and I'd love to have a better grasp if I'm to continue. I know everybody else is up on this stuff, not like myself, but I must confess my naiveness and I don't like being naive about this situation. So can we have some kind of workshop where someone can explain to me what is going on, what is supposed to happen And are we fulfilling it as best we could? As best we could.

And what I could recommend to the clerk, clerk, that you set up a meeting at the pleasure of the board and have the city attorney present and provide them with their legal obligations and all of that legal stuff that's required. But I think that would probably be best suited so that the board can understand why they're meeting the entire process. But from my standpoint, I am letting you know there was no business transacted.

So. Yeah. No, no. Sorry. This is Annika. We did we did actually ask for this. I believe we did ask for this last year because I'm in the same position. I understand this is, you know, afraid of your your sharing that information. There's nothing. But if there were something I feel as a board member, I don't know what my duty is. So I know that's not your business, but it is city of South Miami to, you know, if there were business had to be discussed. I I do not know what my role is going to be. or ought to be. So I feel the same way. I've got to say, and we did ask for this last year. So I just want to make sure that if I am called upon to make decisions or to discuss or that I need to know what my role is.

I feel competent, yes. Yeah, that's it. If someone asked me today, are you on that board? And I would say, yes. And what do you do? I'd be hard pressed to tell them. I don't want to be hard-pressed to tell them that I'm a member of a board. This is what the board's about, and this is the role that I fulfill. So, Madam Clerk, if you could set something like that up.

I don't have a problem. Either way, let's set up some training so that I can become more informed about what it is we're supposed to be doing. Apparently, we're doing so well.
