5A, a resolution of the Council of Miami Shores Village, Florida, authorizing the village manager to execute an amendment to the management agreement with professional course management to LTD to extend the term of the agreement through May 14th, 2026, providing for implementation and providing for an effective date. This item is brought forth by the village manager.

Good morning, Mayor and Council. Thank you so much for affording us this opportunity to get together to have a special called meeting. I know it's hard given your schedules and everything else, so it has not gone unnoticed by us. We do appreciate this because we have some business at hand that really lines up with us having a special called meeting. There are two resolutions that we're asking to look at today. And while they're being voted on individually, I wanted to probably take the opportunity just to lay a foundation. So for the record, and for those who may be joining us on the other side of technology, that they may just understand what is happening here. Before I do, I'd like to just acknowledge the presence of Alberto Pazzi with PCM. Thank you, Alberta for being here and also for Matt Lindley was a vice president of operations with KSM those two entities are the entities that are at the foundation of what's happening here today But if you would just allow me to lay the foundation I These are about two amendment to contracts. One is with PCM where we're asking to extend what had been a six-month extension to further extend it by 14 days. It would have ended today. We're asking for that to be extended until May 14th of 2026. The other one is an extension of a contract that we signed back on April 24th, 2026, asking for that to, instead of that being the date of the contract to begin, but that we would instead, instead of them beginning on May 1st, for them to start a contract on May 15th. How this all came about, it has to do, there's a foundation to all of this. It has to do with service deliverables. It has to do with a seamless approach to to a transition of contracts. It has to do with a reputation that Miami Shores Country Club has and has always delivered. And it has to do about the community. And lastly, it has to do about us. PCM was slated to leave on today, April 30th. and KSM who was stated to begin on May 1st, we realized that while they have been working together to afford us to have this continuation of services, we recognize that it would not have been Seamless it would mean jerky and we wanted to make sure Because this was something we said from the outset that when we moved management structures that it was going to be something that would that would be seamless We recognized that there would have been a jerky start to this contract beginning tomorrow and so I spoke with with campus boards and They agreed Long ago, even before PCM's contract was slated to end, I had spoken with them about the possibility if there seemed to have been a jerkiness or a seamless transition. if we could entertain moving that end date from April 30th. So when I spoke with Kemper Sports about the possibility of it being jerky start tomorrow, given the fact, by the way, that there are three major events coming at the Country Club on May 1st, 2nd, and 3rd, when I spoke with Kemper Sports, they agreed. And they sent me a letter to that effect to see whether or not we could move the date from the May 1st to May 15th. Once they said that, I was able to speak with PCM to ask them whether or not the conversations that we had before could come to fruition in terms of them extending their stay through May 14th.

That's the foundation of all of this, Mayor and Council. That's what we have today.

So the first one that is read into the record is to execute that amendment for PCM to move it from ending today with it ending on May 14th instead, allowing for us to continue that fine reputation that we have built as a service industry.

5B, a resolution of the Council of Miami Shores, Florida, authorizing the village manager to execute an amendment to the agreement with Kemper Sports Management, LLC, to modify the commencement date and term of the agreement, providing that such amendment shall extend the commencement of the term to no later than May 15, 2026, providing for implementation and providing for an effective date. This item is brought forth by the village manager.

Thank you. Again, this is the companion amendment to, the companion resolution, rather, to what we just discussed. It's now asking us to, instead of beginning on the 30th of, or rather on the 1st of May, that Kemper would begin on on the 15th of May. And by begin, I mean officially begin, because a lot of work has been going on in the background, and a lot has been accomplished thus far.
