Conduct a Public Hearing on the proposed biomass conversion facility project (Project) located on a portion of County owned property at the Eastern Regional Landfill site to receive comments on the proposed Project construction and operation, lease and loan agreements.

Approve a Construction and Operating Agreement with Sierra Nevada Biochar LLC (SNB) for the construction and operation of the Project located on a portion of County owned property at the Eastern Regional Landfill site for a five (5) year term, with two (2) successive five (5) year renewal options.

Approve a Loan Agreement and Promissory Note (Loan) with SNB for a loan with a principal balance up to $6,000,000 to be repaid with principal and interest payments over sixty (60) months at 10% interest per year for the construction and operation of the Project.

Authorize the Director of Public Works, or designee, to execute the agreements set forth in the above actions, in addition to related documents and security agreements securing the Loan, subject to County Counsel and Risk Management concurrence.
